31 SPRING 2017 BY-LAWS OF THE TEXAS AUTOMOBILE DEALERS ASSOCIATION The TADA By-Laws provide the structure by which the association is governed. Included in the framework of governance are the objectives and mission of TADA. ARTICLE I Name and Location The name of this Association is "Texas Automobile Dealers Association" and it will have its principal office and head- quarters in Austin, Texas. ARTICLE II Definitions In these by-laws: 1. ‘Dealer’ means a person who, pursu- ant to rights granted under a fran- chise agreement with amotor vehicle manufacturer or distributor, engages in activities at a specific location. 2. ‘Dealership’ means the activities of a dealer conducted pursuant to a franchise agreement with a motor vehiclemanufacturer or distributor at a specific location. Aspecific location is a dealership if a dealer conducts the following activities at that location: A. sale or offer for sale of new motor vehicles manufactured by that manufacturer; B. service activities with respect to the vehicles; C. sale or offer for sale of parts for the vehicles. A specific location may contain more than one dealership if it is the location at which a dealer operates activities pursuant to multiple franchise agreements. ARTICLE III Objectives The objectives of this Association are: 1. to support the principles of ethical business practices and commercial integrity for those engaged in the retail distribution and sale of new automobiles and trucks; 2. to promote the best interest of fran- chised new car and truck dealers, consistent with the public good; 3. to promote a spirit of cooperation among franchised new automobile and truck dealers and encourage them to affiliate with local, state and national associations; 4. to acquire, preserve and disseminate data and information of value to its members, the industry and the public; 5. to maintain good relations among customers, dealers, distributors and manufacturers; 6. to maintain and promote programs for the mediation and settlement of consumer complaints; 7. to promote and support programs for the training of automotive service technicians and the maintenance of automotive service excellence; 8. to promote motor vehicle and driver safety and support safe, convenient and adequate street and highway systems; 9. to support laws and policies that benefit association members, the automotive industry and the public; and oppose unfair, unreasonable or discriminatory laws or regulations; and 10. to support the principles of private en- terprise and a business climate which affords a reasonable opportunity for profitability and financial security. ARTICLE IV Membership Section 1. Eligibility for Regular Mem- bership. Regular membership in the As- sociation is limited to newautomobile and truck dealerships who are doing business in Texas pursuant to a newmotor vehicle sales and service agreement or franchise with a motor vehicle manufacturer or distributor. If an individual, partnership or corporation has more than one dealer- ship, a separate membership is required for each dealership. Each member of the Association will be represented by its owner or by a person designated by its owner to represent the dealership. A person other than the owner of a dealer- ship is eligible to represent the dealership if the person is actively engaged in the daily management of the specific dealer- ship he or she is designated to represent. Each member, whether it be individual, partnership or corporation, may vote in any matter affecting the Association, its business or its elections. Section 2. Suspension and Reinstate- ment. Any member who ceases to be a newmotor vehicle dealer inTexas, or who fails to pay dues and assessments within sixty (60) days after due, will be auto- matically suspended from membership and all benefits of membership will be immediately terminated.
